Terms of Service
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of AlleyBloom, including our website, applications, and related services (collectively, the “Service”), operated by AlleyBloom, Inc. (“AlleyBloom,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
3. The Service
AlleyBloom operates a marketplace that enables local businesses (“Businesses”) and content creators (“Creators”) to discover one another and arrange promotional collaborations (“Collabs”). AlleyBloom provides the platform, tools, and facilitation services only. We are not a party to any Collab and do not act as an employer, agent, talent manager, or representative of any user. Each Collab constitutes a direct agreement between the participating Business and Creator.
4. Accounts
You agree to provide accurate and complete information, to keep your account credentials confidential, and to accept responsibility for all activity conducted through your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or its users.
5. Collabs, offers, and content
Businesses are responsible for defining the terms of each offer, including any complimentary goods or services and the agreed deliverables, such as content format and required tags, and for honoring those terms and providing a safe environment. Creators are responsible for producing and publishing the agreed content and for complying with all applicable laws and platform policies, including Federal Trade Commission guidelines on the disclosure of gifted or sponsored content. AlleyBloom does not guarantee the availability, quality, performance, or outcome of any Collab.
6. Connected social accounts
Creators may choose to connect an Instagram or TikTok account to AlleyBloom. Connecting is optional. By connecting an account, you authorize AlleyBloom to access, on your behalf and through that platform's official interfaces, the profile information, delivered content, and performance information described in our Privacy Policy, and you authorize us to share the content you deliver for a Collab, and how it performed, with the Business that funded that Collab. You represent that you own or are authorized to connect the account. You may disconnect at any time from Profile › Connections, or revoke our access from within the platform itself; doing so does not withdraw content you have already delivered under a Collab. Your use of Instagram, Facebook, and TikTok remains governed by those platforms' own terms and policies, and AlleyBloom is not responsible for their availability, their decisions, or any change they make to the information they provide to us.
7. Intellectual property
As between the parties, Creators retain ownership of the content they create and grant participating Businesses the license set out in the applicable offer. You grant AlleyBloom a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote Collab content and profile information in connection with operating and marketing the Service. You represent that you hold all rights necessary to grant these licenses.
8. Fees and taxes
AlleyBloom may charge subscription or service fees, which will be disclosed to you before they are incurred. You are solely responsible for any taxes arising from your use of the Service or from any Collab, including taxes on the value of bartered or complimentary goods and services. We recommend consulting a qualified tax advisor.
9. Acceptable use
You agree not to misrepresent your identity, audience, or engagement; harass or harm other users; post unlawful, infringing, or deceptive content; circumvent the Service to avoid fees; scrape or harvest data; or otherwise interfere with the operation or security of the Service.
10. Ratings and reviews
Ratings and reviews must reflect genuine experiences. We reserve the right to remove content that violates these Terms or applicable law.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any Collab will meet your expectations.
12. Limitation of liability
To the fullest extent permitted by law, AlleyBloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of any Business or Creator. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the amounts you paid to us in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless AlleyBloom and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your Collabs.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access for any violation of these Terms or to protect the integrity of the Service. Provisions that by their nature should survive termination will survive.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with an updated effective date and, where the changes are material, provide reasonable notice. Your continued use of the Service after the changes take effect constitutes acceptance.
